Affiliate Padi’s Terms and Conditions

Welcome to Affiliate Padi, a trademarked platform under DigiPal Solutions Services Limited. Affiliate Padi is a revolutionary digital products marketplace and affiliate marketing platform that empowers digital product vendors to showcase their products, while affiliate marketers seize the opportunity to promote these products to customers and earn commissions on each successful sale.

By accessing and utilizing the services offered by Affiliate Padi, you agree to comply with the terms and conditions outlined herein. Please read this agreement carefully before proceeding to sign up on Affiliate Padi.

1. Agreement Acceptance

By registering as a vendor or affiliate on Affiliate Padi and clicking “agree,” you signify your acceptance of all terms and conditions presented in this agreement. Failure to agree with these terms prohibits you from participating as a vendor, affiliate, or buyer on the Affiliate Padi marketplace.

Affiliate Padi reserves the right to update this agreement at any time. Any revisions will become effective upon posting on our website. Notice of substantial changes will be provided at least 30 days in advance. Continued use of Affiliate Padi’s services after such modifications constitutes acceptance of the revised terms.

Upon confirmation that a User (Affiliate, Vendor, or Buyer) has engaged in fraudulent activities or facilitated fraudulent transactions, their account shall be promptly deactivated / blacklisted, and necessary actions will be implemented within the bounds of applicable laws and regulations.

2. Sections of Affiliate Padi’s Terms and Conditions

These terms and conditions are divided into three sections:

a) Affiliates and Buyers’ Terms and Conditions

b) Referral Bonus Terms and Conditions

c) Vendors’ Terms and Conditions

AFFILIATES AND BUYERS’ TERMS AND CONDITIONS

1. How We Protect Buyers / Affiliates

At Affiliate Padi, we strive to ensure a safe and reliable customer experience. While we provide products, services, and content “as is” without any warranties, expressed or implied (unless specified by the vendor), we take extra steps to protect our buyers and affiliates:

a) Quality Assurance: Every product undergoes a thorough quality check and price review before being listed.

b) Buyer Feedback: After purchase, buyers receive a follow-up email to review the product. Products with low ratings are promptly removed from our platform.

c) Secure Payments: We partner only with credible and licensed payment service providers to ensure secure transactions.

2. Buyers and Affiliate Marketers’ Benefits

a) Marketplace Access: Utilize Affiliate Padi’s comprehensive marketing, hosting, advertising, sales, and tracking features for enhanced convenience and effectiveness in reaching customers.

b) Services: Access additional services such as advertising, enhanced marketing, and product placement, subject to availability and possible extra charges. Affiliate Padi reserves the right to modify, suspend, or discontinue services at its discretion.

c) Extra Benefits: Attend Affiliate Padi events, including live events, virtual events, conferences, and technical workshops, with special opportunities and discounts available for affiliates and buyers.

3. Using Affiliate Padi

You acknowledge that Affiliate Padi and its marketplace are private communities. Affiliate Padi retains the right to accept or reject affiliates and to provide or refuse services to buyers or users at its discretion.

3.1 Becoming an Affiliate

a) Sign-Up: Register and get one year free subscription (renews at N6,000 annually). This gives you access to our platform’s features designed to optimize your sales efforts and earnings.

b) Product Access: Access a wide range of high-demand digital products and earn attractive commissions on every sale generated through your unique product links obtained from the Marketplace.

c) Payments: Receive prompt, reliable weekly payments and participate in exclusive promotions and bonus opportunities.

d) Referral Bonuses: Join the referral programme with a one-time fee of N6,000 and earn N4,000 referral bonus on each person you refer to Affiliate Padi. You will earn the N4,000 when they join the referral programme and pay the one-time fee of N6,000.

3.2 Affiliates’ Responsibilities

a) Product Promotion: Select and promote products from the Affiliate Padi Marketplace and earn commissions on sales.

b) Promotion Restrictions: You may not market or advertise pornographic, pyramid schemes, or Multi-Level Marketing (MLM) products. Guarantees or warranties beyond those provided by the vendor (where applicable) are prohibited. Misleading claims about earnings or product benefits are strictly forbidden.

c) Vendor Evaluation: Evaluate vendors and products they wish to promote.

4. General Provisions

a) Termination: Affiliate Padi reserves the right to suspend or terminate affiliates for violations of this Agreement/Terms and Conditions.

b) Ownership: Vendors retain ownership of their products, and Affiliate Padi acts as a facilitator for sales.

c) Liability: Affiliate Padi is not liable for any defects, damages, or disputes related to products sold on the marketplace.

5. Miscellaneous

This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings. By accessing and utilizing Affiliate Padi’s services, you agree to abide by these terms and conditions. Affiliate Padi reserves the right to enforce these terms and conditions and take appropriate action against violations.

AFFILIATE PADI’S REFERRAL BONUS TERMS AND CONDITIONS

Affiliate Padi’s referral bonus programme is designed to offer unlimited earning potential by referring people to our platform. While there’s no cap on how many affiliates you can refer, we encourage affiliates to focus on promoting and selling digital products available on our platform. Additionally, purchasing and implementing these products can create multiple income streams and personal development opportunities.

Key Conditions:

1. Qualification for Payouts: For every 1 – 10 affiliates you refer to Affiliate Padi, you must make at least 1 product sale to qualify for weekly payout. Your referral link remains active regardless of sales, but to receive payout, at least one product sale is required.
2. Payment Calculation: Before processing weekly payments, our system calculates the ratio of your total referrals to your total product sales. To qualify for payout, this ratio must not exceed 10.

Examples:

• Scenario 1: You refer 20 affiliates and sell 85 digital products. 

Calculation: 20 referrals / 85 product sales = 0.24 (qualifies for payout because 0.24 is less than 10).

• Scenario 2: You refer 3 affiliates and sell 50 digital products. 

Calculation: 3 referrals / 50 product sales = 0.06 (qualifies for payout because 0.06 is less than 10).

• Scenario 3: You refer 60 affiliates and sell 4 digital products. 

Calculation: 60 referrals / 4 product sales = 15 (does not qualify for payout because 15 is greater than 10; at least 2 more product sales are needed to qualify for payout).

Important Note: Participation in the referral programme is optional and does not affect your regular weekly payout if you choose not to participate.

AFFILIATE PADI’S VENDORS’ TERMS AND CONDITIONS

This Vendor Agreement (“Agreement”) outlines the terms and conditions governing the submission and sale of products on the Affiliate Padi marketplace. By becoming a vendor, you agree to comply with the terms set forth herein.

By registering as a vendor on Affiliate Padi, you signify your acceptance of all terms and conditions presented in this agreement. Failure to agree with these terms prohibits you from participating as a vendor on the Affiliate Padi marketplace.

3. Using Affiliate Padi

You acknowledge that Affiliate Padi and its marketplace are private communities. Affiliate Padi retains the right to accept or reject vendors and to provide or refuse services to buyers or users at its discretion.

3.1 Becoming a Vendor

• Sign-Up: Onboard on Affiliate Padi and enjoy 12 months free subscription.
• Product Review: Products undergo Affiliate Padi’s quality check before going live on the platform.
• Subscription Fee: After the first 12 months, a subscription fee of N10,000 annually is charged.
• Vendor Eligibility: Vendors must provide accurate and verifiable information and meet eligibility criteria, including being at least 18 years old and not previously banned from Affiliate Padi.
• Misleading Information: Providing misleading or inaccurate information is a violation of this contract and may result in suspension or deletion of the vendor’s account.

4. Submission of Products

• Product Requirements: Vendors may submit digital products (“Products”) for sale on the Affiliate Padi marketplace. Products must be suitable for digital delivery and comply with quality standards set by Affiliate Padi.
• Prohibited Content: Vendors agree not to submit products containing prohibited content, including but not limited to Multi-Level Marketing (MLM) products, pornography, offensive material, illegal activities, or copyright violations.
• Originality: Products must be original, and vendors must hold all necessary copyrights. Private label rights material may not be used as the basis of a product.

5. Pricing of Products

• Price Limits: Vendors may set their own prices within price limits established by Affiliate Padi. Current price limits are N2,000 (lower limit) and N1,000,000 (upper limit) per product.
• Price Reviews: Affiliate Padi reserves the right to review and adjust price limits based on vendor performance and market conditions.
• Price Consistency: Vendors must not offer products listed on Affiliate Padi at lower prices elsewhere. Any price changes must be communicated to Affiliate Padi promptly.

6. Vendor Obligations and Warranties

• Legal Compliance: Vendors warrant that they have the legal authority to enter into this Agreement and comply with all applicable laws and regulations.
• Content Accuracy: Vendors are responsible for ensuring the accuracy and quality of product content. Any discrepancies may result in product removal from the marketplace.
• Indemnification: Vendors indemnify Affiliate Padi against any claims, damages, or losses arising from product submissions or breaches of this Agreement.

7. General Provisions

• Termination: Affiliate Padi reserves the right to suspend or terminate vendors for violations of this Agreement.
• Ownership: Vendors retain ownership of their products, and Affiliate Padi acts as a facilitator for sales.
• Liability: Affiliate Padi is not liable for any defects, damages, or disputes related to products sold on the marketplace.

8. Marketing and Advertising Responsibilities

• Costs and Liability: You are solely responsible for all costs associated with marketing and advertising, including any materials you develop. Affiliate Padi does not provide legal advice or review marketing materials; thus, you must ensure compliance with all laws and regulations.
• Respectful Practices: Marketing materials or sales pages must not contain illegal content, false claims, or misleading information. Represent products truthfully without exaggeration or hype. Prohibited practices include spamming, cookie stuffing, impersonating Affiliate Padi, etc.
• Promotion Restrictions: You may not market or advertise pornographic, pyramid schemes, or anything of sort. Misleading claims about earnings or product benefits are strictly forbidden.

9. Commission Structure

• Vendor’s Commission Range: Vendors on Affiliate Padi have the flexibility to set their affiliate commissions.
• Deduction of Affiliate Commissions: When an affiliate successfully generates a sale for a vendor’s product, the agreed-upon affiliate commission is deducted from the gross sales amount.
• Deduction of Platform Commissions: On every sale, Affiliate Padi will deduct a 10% commission on the gross sales amount.
• Payment to Vendor: After deducting the affiliate commission and the platform commission from the gross sales, the remainder of the sales revenue is paid to the vendor.

10. Secure Access and Communication

Upon registration, vendors can access Affiliate Padi resources/platform. It is your responsibility to maintain the confidentiality of your account information and keep contact details up to date.

11. Sales Pages and Promotional Material

Vendors are responsible for sales page content hosted by Affiliate Padi. Content must be accurate, and claims must be truthful. False or misleading information is prohibited. Refund policies to customers are at the discretion of the vendor. Affiliate Padi does not have a refund policy for customers; instead, Affiliate Padi focuses on onboarding credible vendors.

12. Signup Fees and Payments

• Vendor Signup Fee: Vendors pay a yearly subscription fee of N10,000 after the first 12 months; every new vendor has a one-year free subscription before paying the annual fee of N10,000.
• Additional Fees: In addition to the signup fee, vendors agree to pay Affiliate Padi a 10% commission per product sale.
• Payment Schedule: Payments to vendors are made on a weekly basis.

13. Miscellaneous

• This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings.
